ARTICLE 1 – PURPOSE AND SCOPE
These General Terms and Conditions of Sale (hereinafter "Terms and Conditions" or "T&Cs") govern all sales of products offered by Alexander Mandagie Paris (hereinafter "the Company," "we," "us," or "our") to consumers and professionals (hereinafter "the Customer," "you," or "your") through our website [www.alexandermandagieparis.com].
These Terms and Conditions apply to all orders placed through our website. By placing an order, you acknowledge having read, understood, and accepted these Terms and Conditions in their entirety, without reservation.
These Terms and Conditions are written in English and French. In the event of any discrepancy between versions, the French version shall prevail in accordance with French law.
The Company reserves the right to modify these Terms and Conditions at any time. The Terms and Conditions applicable to your order are those in force on the date of order confirmation.
ARTICLE 2 – PRODUCT DESCRIPTION
Alexander Mandagie Paris offers handcrafted decorative cushions combining antique textiles from Asia with carefully selected European textiles. Each cushion features a double-sided design, making every piece unique.
2.1 Product Characteristics
Our products are described on the website with the greatest possible accuracy. However, as each cushion incorporates genuine antique textiles, natural variations in color, texture, pattern, and minor imperfections may occur. These characteristics are inherent to the authenticity and heritage of antique textiles and do not constitute defects.
Product photographs are provided for illustrative purposes only and may not perfectly represent the actual colors, textures, or dimensions due to screen display variations.
2.2 Availability
Products are offered for sale while stocks last. In the event that a product is unavailable after an order has been placed, we will inform you as soon as possible and offer you the option to:
· Select an alternative product of equivalent value
· Receive a full refund within 14 days
ARTICLE 3 – PRICING
3.1 Price Display
All prices are displayed in Euros (EUR) and include all applicable taxes, including French VAT at the current rate. Prices do not include shipping costs, which are calculated separately and displayed before order confirmation.
3.2 Price Validity
The prices applicable are those displayed on the website at the time of order confirmation. The Company reserves the right to modify prices at any time, but products will be invoiced based on the prices in effect at the time the order is confirmed.
3.3 Payment Methods
We accept the following payment methods:

· Bank transfer (for bespoke orders upon request)
All payments are processed securely through certified payment service providers in compliance with PCI-DSS standards. The Company does not store your complete payment card information.

Payment transactions are secured using SSL (Secure Socket Layer) encryption technology. Card information is directly transmitted to our payment service provider and is not stored on our servers.
ARTICLE 4 – ORDER PROCESS
4.1 Placing an Order

4.2 Order Confirmation
Upon receipt of your order, you will receive an automated email acknowledging receipt of your order. This does not constitute acceptance of your order.
A second email will be sent to confirm acceptance of your order and the commencement of processing. The sales contract is concluded only upon sending of this order confirmation email.
The Company reserves the right to refuse or cancel any order in the event of:
· Incomplete or inaccurate customer information
· Payment issues or fraud suspicion
· Product unavailability
· Previous unpaid orders
· Any legitimate commercial reason
4.3 Order Verification
You are responsible for ensuring that all information provided (delivery address, email address, phone number) is accurate and complete. The Company cannot be held liable for delivery errors resulting from incorrect information provided by the Customer.
ARTICLE 5 – DELIVERY
5.1 Delivery Zone
We currently deliver to countries within the European Union and the United Kingdom. We are actively working to expand our shipping capabilities to additional regions. Please contact us if you are located outside these areas and wish to be notified when shipping becomes available in your region.
5.2 Delivery Times
Each cushion is made to order, allowing time for careful craftsmanship and attention to detail. Your piece will be ready for shipping within 15 working days from the date of order. Estimated delivery times are provided for information purposes only and may vary depending on:
· Product availability
· Destination address
· Carrier schedules
· Customs procedures (for shipments outside France)
Standard delivery within the EU and UK is typically 10 business days after the product has been dispatched. You will receive a tracking number once your order has been dispatched.
5.3 Shipping Costs
Shipping costs are calculated based on the delivery destination and the weight of the order. The exact shipping cost will be displayed during the checkout process before you confirm your order.
5.4 Delivery Terms
Deliveries are made to the address specified in your order. Please ensure that someone is available to receive the package. In the event of absence, the carrier will leave a notice with instructions for collection or redelivery.
5.5 Risk Transfer
The risk of loss or damage to products passes to you upon delivery. Upon receipt, please inspect the package immediately for any visible damage. If damage is apparent, you must:
· Note any reservations on the carrier's delivery receipt
· Contact us within 3 days with photographs of the damage
· Retain all packaging materials for inspection
5.6 Delivery Delays
In the event of a delivery delay exceeding 10 working days beyond the estimated delivery timeframe, you may contact us to request information about your order. If the delay exceeds 30 working days without justification, you have the right to cancel the order and receive a full refund.
ARTICLE 6 – RIGHT OF WITHDRAWAL (FOR CONSUMERS ONLY)
In accordance with Articles L221-18 to L221-28 of the French Consumer Code, consumers purchasing for non-professional purposes have a right of withdrawal.
6.1 Withdrawal Period
You have 14 calendar days from the date of receipt of your order to exercise your right of withdrawal, without having to provide any justification and without penalty, except for the cost of returning the product.
If we fail to inform you of your right of withdrawal, the withdrawal period is extended to 12 months from the original 14-day period. However, if we inform you of your right during this extended period, the withdrawal period expires 14 days after such notification.
6.2 How to Exercise Your Right of Withdrawal
To exercise your right of withdrawal, you must inform us of your decision by a clear, unambiguous statement before the expiry of the withdrawal period. You may:

6.3 Return of Products
You must return the product to us without undue delay and in any event no later than 14 calendar days from the date on which you informed us of your decision to withdraw.
You are responsible for the cost of returning the product unless otherwise agreed.
Products must be returned in their original condition, unused, undamaged, and with all original packaging, labels, and accessories. You are liable for any diminished value of the product resulting from handling beyond what is necessary to establish the nature, characteristics, and functioning of the product.
6.4 Refunds
We will reimburse all payments received from you, excluding the cost of delivery to you, without undue delay and in any event no later than 14 calendar days from the date on which we are informed of your decision to withdraw.
We may withhold reimbursement until we have received the returned product or until you have supplied evidence of having sent back the product, whichever is earliest.
Refunds will be made using the same payment method you used for the original transaction, unless you expressly agree otherwise. You will not incur any fees, other than the delivery cost, as a result of the refund.
6.5 Exceptions to the Right of Withdrawal
The right of withdrawal does not apply to:
· Products made to your specifications or clearly personalized (bespoke cushions)
· Products sealed and unsealed after delivery which cannot be returned for reasons of hygiene or health protection
· Products which have been irreversibly mixed with other items after delivery
ARTICLE 7 – LEGAL GUARANTEES
7.1 Legal Guarantee of Conformity
In accordance with Articles L217-4 to L217-14 of the French Consumer Code, all products sold are covered by the legal guarantee of conformity. Under this guarantee, consumers have the right to:
· Repair or replacement of defective products within a reasonable time and without significant inconvenience
· A price reduction or contract termination if repair or replacement is impossible
The action for non-conformity must be brought within 2 years from delivery of the product. You may choose between repair and replacement, subject to cost conditions specified in Article L217-9 of the French Consumer Code.
Extract from the French Consumer Code:
Article L217-4: The seller is required to deliver a product that conforms to the contract and is liable for any lack of conformity existing at the time of delivery.
Article L217-5: To conform to the contract, the product must be fit for the purpose usually expected of such a product and correspond to the description given by the seller.
Article L217-12: The action resulting from the lack of conformity lapses two years after delivery of the product.
7.2 Legal Guarantee Against Hidden Defects
In accordance with Articles 1641 to 1649 of the French Civil Code, you benefit from the legal guarantee against hidden defects. Under this guarantee, you may choose between rescinding the sale or receiving a price reduction if the product suffers from a hidden defect that renders it unfit for its intended use or significantly diminishes its use.
The action for hidden defects must be brought within 2 years from discovery of the defect.
Extract from the French Civil Code:
Article 1641: The seller is bound to warrant against latent defects in the thing sold which render it unfit for its intended use, or which so impair that use that the buyer would not have bought it, or would have given a lower price, had he known of them.
Article 1648: The action resulting from latent defects must be brought by the purchaser within two years from the discovery of the defect.
7.3 Commercial Guarantee
Any commercial guarantee offered by the Company is in addition to and does not replace the legal guarantees described above. Details of any commercial guarantee will be provided with the product.
ARTICLE 8 – PRODUCT CARE AND LIABILITY
8.1 Proper Use and Care
Our cushions contain delicate antique and heritage textiles that require proper care to maintain their condition. Detailed care instructions are provided in our FAQ section and with each product.
The Customer is responsible for following all care instructions. Damage resulting from improper use, cleaning, or storage is not covered under our guarantees.
8.2 Limitation of Liability
The Company's liability is limited to direct damages proven to be caused by the Company. We shall not be liable for:
· Indirect damages, including loss of profit, loss of business, or consequential loss
· Damages resulting from improper use or maintenance of products
· Damages occurring after the expiry of applicable guarantee periods
· Damages caused by third parties, including carriers (except as provided by law)
This limitation of liability does not apply to:
· Personal injury or death resulting from our negligence
· Fraud or fraudulent misrepresentation
· Any liability that cannot be excluded or limited under French law
8.3 Insurance
The Company maintains professional liability insurance coverage as required by law. Details of our insurance policy may be provided upon request.
ARTICLE 9 – INTELLECTUAL PROPERTY
9.1 Ownership Rights
All content on our website and related to our products, including but not limited to text, images, photographs, logos, graphics, designs, trademarks, and software, is the exclusive property of Alexander Mandagie Paris or its licensors and is protected by French and international intellectual property laws, including copyright, trademark, and design rights.
The Alexander Mandagie Paris name, logo, and brand are registered trademarks.
9.2 Prohibited Uses
You may not, without our prior written consent:
· Reproduce, copy, distribute, publish, or transmit any content from our website or products
· Use our trademarks, logos, or brand name for any commercial purpose
· Create derivative works based on our designs
· Remove or alter any copyright, trademark, or other proprietary notices
Purchasing a product does not transfer any intellectual property rights to the Customer, except for the right to use the product for personal, non-commercial purposes.
9.3 User-Generated Content
If you provide content (such as reviews, photographs, or testimonials), you grant us a non-exclusive, royalty-free, perpetual, worldwide license to use, reproduce, modify, and display such content for promotional and commercial purposes.
ARTICLE 10 – PERSONAL DATA PROTECTION (GDPR COMPLIANCE)

Alexander Mandagie Paris is the data controller for the processing of your personal data. Our contact details are provided at the beginning of these Terms and Conditions.

11.1 Obligation to Inform
In accordance with Articles L611-1 et seq. of the French Consumer Code and the European Directive 2013/11/EU on Alternative Dispute Resolution (ADR), we inform you of the possibility to have recourse to a consumer mediator in the event of a dispute.
11.2 Mediation Process

If we are unable to resolve the dispute amicably within a reasonable timeframe, you may submit your complaint to any designated consumer mediator.
Mediation is free of charge for consumers. The mediator will assist the parties in finding an amicable solution and, if necessary, propose a non-binding resolution.

11.4 Preservation of Legal Rights

ARTICLE 12 – FORCE MAJEURE
12.1 Definition
In accordance with Article 1218 of the French Civil Code, force majeure is defined as an event beyond the control of the affected party, which could not reasonably have been foreseen at the time of conclusion of the contract, and whose effects cannot be avoided by appropriate measures.
12.2 Effects of Force Majeure
Neither party shall be liable for any delay or failure to perform its obligations under these Terms and Conditions if such delay or failure is caused by force majeure.
Force majeure events may include, but are not limited to:
· Natural disasters (floods, earthquakes, storms, fires)
· War, terrorism, riots, civil unrest
· Epidemic or pandemic
· Strikes or labor disputes (not involving the Company's own employees)
· Failure of public utilities or transport networks
· Government actions, laws, or regulations
12.3 Temporary Impediment
If the impediment is temporary, performance of the affected obligations shall be suspended for the duration of the force majeure event, without liability for either party.
If the force majeure event persists for more than 30 days, either party may terminate the contract by providing written notice to the other party. In such case, any payments already made will be refunded proportionally.
12.4 Permanent Impediment
If the impediment is permanent, the contract shall be automatically terminated, and both parties shall be released from their respective obligations. Any payments already made will be refunded.
ARTICLE 13 – APPLICABLE LAW AND JURISDICTION
13.1 Applicable Law
These Terms and Conditions and all sales concluded through our website are governed by French law, in compliance with European Union directives and regulations, including:

· The French Civil Code (Code civil)
· The General Data Protection Regulation (GDPR) No. 2016/679
· French Data Protection Act No. 78-17 of 6 January 1978

The United Nations Convention on Contracts for the International Sale of Goods (Vienna Convention) is expressly excluded.

13.3 Jurisdiction
For Consumer Customers:
In accordance with Articles R631-3 and following of the French Consumer Code, any dispute that cannot be resolved amicably may be brought before the competent courts according to the procedural rules in force. Consumers may bring legal action before:
· The court of the place where they resided at the time of conclusion of the contract, or
· The court of the place where the harmful event occurred, or
· The court of the place of delivery of the product
For Professional Customers:
Any dispute arising from these Terms and Conditions shall be subject to the exclusive jurisdiction of the Commercial Court of [City], France, even in the case of multiple defendants or third-party claims.
ARTICLE 14 – MISCELLANEOUS PROVISIONS
14.1 Entire Agreement
